END-USER LICENSE AGREEMENT (EULA) FOR EXPERA ONLINE

This End-User License Agreement ("Agreement") is a legal contract between you ("User") and Ekspera LT, UAB ("Company") governing your use of the Expera Online software solution ("Software"). By accessing or using the Software, you agree to be bound by the terms of this Agreement.

1. LICENSE GRANT

The Company grants the User a non-exclusive, non-transferable, revocable license to use the Software subject to the terms of this Agreement.

2. SUBSCRIPTION AND LICENSE RESTRICTIONS
- The Software is licensed on a subscription basis, as outlined in the applicable service agreement. - The User may not sublicense, distribute, modify, reverse engineer, or decompile the Software.
- The Software may only be used within the scope of the agreed subscription and license terms.

3. USAGE AND ACCESS
- The User must ensure the security of their access credentials.
- Unauthorized access or use of the Software is strictly prohibited.
- The Company reserves the right to monitor usage to ensure compliance with this Agreement.

4. OWNERSHIP AND INTELLECTUAL PROPERTY
- The Software and all associated intellectual property rights remain the sole property of the Company.
- This Agreement does not transfer any ownership rights to the User.

5. SUPPORT AND UPDATES
- Subscription plans may include updates and support services as outlined in the service agreement.
- The Company reserves the right to modify or discontinue features without prior notice.

6. LIMITATION OF LIABILITY
- The Software is provided "as is" without warranties of any kind.
- The Company is not liable for any damages resulting from the use or inability to use the Software.
- The total liability of the Company, under any circumstance, shall not exceed the fees paid by the User for the Software.

7. TERMINATION
- The Company may terminate this Agreement if the User violates any terms.
- Upon termination, the User must cease all use of the Software and delete any related materials.

8. DATA PRIVACY
- The Company will process User data in accordance with its Privacy Policy.
- The User is responsible for compliance with data protection laws applicable to their use of the Software.

9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with U.S. federal law and the law of the State of California, excluding their respective choice of law principles. Any disputes shall be resolved in the courts of the State of California.

10. COMPLIANCE WITH ESRI TERMS
As the Software is hosted on the Esri platform, the following additional terms apply:
- The User acknowledges that Esri and its licensors disclaim, to the extent permitted by applicable law, any liability for damages or losses arising from the use of the Hosted Solutions, including but not limited to high-risk activities or reliance on any data supplied by Esri.
- Upon termination of the Esri Partner Network Agreement or this Agreement, the User must (i) cease access and use of any terminated Authorized Sublicense Material in Hosted Solutions and (ii) clear any client-side data cache derived from the terminated Authorized Sublicense Material.
- The User must comply fully with all relevant U.S. export laws and regulations, including the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and Office of Foreign Assets Control (OFAC) regulations.
- The User may not remove or obscure any patent, copyright, trademark, proprietary rights notices, or legends affixed to any Authorized Sublicense Material, output, metadata file, or attribution page.
- Esri and its licensors do not warrant that data or Authorized Sublicense Material will meet the User's expectations, function uninterrupted, or be error-free. Any warranty provided by Expera Online applies only between Expera Online and the User.
- The User may not use Authorized Sublicense Material for revenue-generating activities; it is intended solely for internal use.
- The User is prohibited from using Authorized Sublicense Material independently from the Hosted Solution or in any other product or service.
- The User may not store, cache, distribute, sublicense, or otherwise use Authorized Sublicense Material in violation of Esri’s or any third party’s rights, including intellectual property, privacy, export laws, or other applicable laws.
- Sharing of Named User login credentials is strictly prohibited. Credentials may only be reassigned if the former user no longer requires access.

11. CHANGES TO AGREEMENT
The Company reserves the right to modify this Agreement at any time. Continued use of the Software after modifications constitutes acceptance of the updated terms.
